I tried to answer this in the comment on the earlier entry, but to recap, I wouldn't say that there was a lot of gore in the film... there are a fair few deaths, certainly, but not messy ones (we have Hollywood physics to thank for that), so on the whole, I'd think that a 12 year old would be alright with it.
Like I said, P's 11, and I had no qualms taking him to see it on the violence/sex side... My overall conclusion would be that if you were OK with Transformers/Transformers 2, you'd probably be OK with this.
